    Adani Ports and Special Economic Zone Ltd. (APSEZ), India’s largest private port operator, today announced that its step-down subsidiary, Mandhata Build Estate Pvt. Ltd., has executed a Share Purchase Agreement (SPA) with Windson Projects LLP to acquire 100% stake in Dependencia Logistics Pvt. Ltd.

    The acquisition has been concluded at a purchase consideration of ₹37.77 crore.

    Dependencia Logistics, incorporated in February 2022, was established with the objective of providing comprehensive transportation and logistics services for all kinds of goods. The company is yet to commence commercial operations.

    APSEZ stated that the objective of this acquisition is to further expand and strengthen its logistics business, thereby enhancing integrated supply chain capabilities for customers across sectors.

    As India’s largest private port operator, APSEZ currently operates a portfolio of 15 domestic ports/terminals and has an international presence at 4 global ports/terminals. Beyond its robust port operations, APSEZ has a wide logistics network offering multimodal transport solutions and specialized port-based marine services across India and abroad.

    For the quarter ended June 30, 2025 (Q1 FY26), APSEZ reported a 6.48% rise in consolidated net profit to ₹3,314.59 crore, compared to ₹3,112.83 crore in Q1 FY25. Revenue from operations surged 31.19% YoY to ₹9,126.14 crore, reflecting the company’s strong operational performance.
