    JSW Steel Ltd has announced a strategic reorganisation of its United States operations, approved by its Board of Directors on Friday. The move is part of the company’s efforts to consolidate and simplify its overall group structure.

    Rationale behind the reorganisation
    The reorganisation aims to consolidate the company’s US business verticals, which are currently spread across different entities.

    Its Baytown operations, comprising a 1.2 million tonne per annum (mtpa) plate mill and a 0.55 mtpa pipe mill in Texas, are held through Periama Holdings LLC, a subsidiary of JSW Steel (Netherlands) BV. In contrast, its Ohio operations, which include a 1.5 mtpa Electric Arc Furnace, are held directly by JSW Steel via Acero Junction Holdings Inc.

    To “simplify the group structure, consolidate both Baytown and Acero business verticals, [and] optimise financial and operational outcomes,” the company plans to consolidate all US business operations into a single holding company.

    The restructuring does not involve the sale of any overseas investments, and the company stated it “continues to have the same economic interests in the Netherland company and its operations in the US.” The plan is subject to regulatory and other approvals.

    Expected outcomes and shareholding changes
    The company stated that the reorganisation “is expected to reduce the number of legal entities, simplify compliances and create a unified holding structure for US business.”

    Under the new structure, Acero Junction Holdings Inc. will cease to exist. JSW Steel’s Ohio operations and other US entities will instead be held by a single US holding company, which will in turn be owned by JSW Steel through its Netherlands-based subsidiary.

    JSW Steel confirmed that because the reorganisation involves steps “between existing wholly owned subsidiaries of the Company… there is no benefit to the promoter/promoter group/group companies.”
