GEODIS has signed an agreement to acquire Malherbe, a leading French operator in full truckload (FTL) road freight transport, marking a significant step in the Group’s growth strategy in the French and European road freight markets.

The acquisition will reinforce GEODIS’s capabilities in both full and less-than-full truckload (LTL) services, while significantly strengthening its footprint in the agri-food and mass retail sectors. The strong geographical and operational complementarity between the two companies is expected to enhance network density across France and further improve service quality for customers.

With this transaction, GEODIS aims to expand its presence in the French road freight market, broaden its national coverage, and accelerate the development of its European road transport activities. The combined entity will position GEODIS among the top three players in the French FTL and LTL market, with combined revenues of approximately €2 billion.

The acquisition also supports GEODIS’s ambition to lead the decarbonization of road transport. Malherbe has been actively pursuing its energy transition since 2024, implementing initiatives to diversify energy sources, progressively electrify its fleet, and deploy charging infrastructure across multiple sites. These efforts align closely with GEODIS’s sustainability roadmap and commitment to reducing the carbon footprint of its logistics operations.

Marie-Christine Lombard, Chief Executive Officer of GEODIS, said:
“The integration of Malherbe will represent an essential strategic lever in building a more resilient and sustainable nationwide network. Together, we will be able to offer a strong French alternative on the market, combining operational excellence, environmental performance and strategic autonomy in logistics.”

Founded in 1956, Malherbe operates a nationwide network of 40 branch offices in France, with a fleet of approximately 1,500 trucks and a workforce of more than 3,300 employees.

The transaction remains subject to customary regulatory approvals and is expected to be completed following the fulfillment of these formalities.
